It is appropriate to present a corporate definition of merger as found in the legal references with the ultimate goal of pursuing an explanation on which this document intends to present. A merger according to the textbook is legally defined as a contractual and statutory process in which the (surviving company) acquires all the assets and liabilities of another company (the merged company). The definition goes even further and involves and clarifies what happens to actions by explaining the following; “the shareholders of the merged company are paid for their share or receive the shares of the acquiring company”. But in simple terms it is my attempt to define as the product or birth of a company which typically extends its business by merging with another company. So from two societies onwards the existence in the process is absorbed and becomes a single entity. The legal definition also implied more than meets the eye. The terms contractual and statuary imply a process where contracts and statuary measures emerge as measures to regulate, standardize, govern or simply sometimes can complicate the whole process. These terms provide an explicit umbrella and become part of the agreement by formulating or promoting a case for contracts to be preceded, enforced or regulated at some time now or in the future by a court under the Commercial Contract Law Statute. As for what happens to the shares of the companies involved there is no need for further explanation as the actions already mentioned clearly express the expectations of shareholder involvement in a merger.
